1.Acceptance and Scope
These Terms of Use (“Terms”) govern your access to and use of ismynonprofitcompliant.com (the “Site”). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.
These Terms apply to the Site only. They do not govern the Crowded platform, banking, payments, or any other product or service offered by Crowded Technologies Inc. or its affiliates, each of which is subject to its own terms available at bankingcrowded.com/legal.
No banking, payment, deposit, or money transmission service is offered through this Site.
2.Operator and No Government Affiliation
The Site is operated by Crowded Technologies Inc., a Delaware corporation, 501 East Las Olas Boulevard, Suite 200, Fort Lauderdale, FL 33301, United States.
The Site is not affiliated with, endorsed by, sponsored by, or operated by the Internal Revenue Service or any other government agency. All IRS data displayed is derived from publicly available government records.
3.The Service and IRS Data
The Site provides a free lookup tool that reports the publicly recorded IRS tax-exempt status of United States 501(c) organizations, drawn from the IRS Business Master File, IRS Publication 78, and the Form 990-N (e-Postcard) database. The Site may also publish articles and other informational content.
ALL DATA AND CONTENT ON THIS SITE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. Crowded Technologies Inc. does not warrant the accuracy, completeness, currency, or fitness for any purpose of any result returned.
The underlying IRS source data is refreshed periodically and IRS processing delays are common. An organization shown as tax-exempt may since have been revoked, and an organization shown as revoked may since have been reinstated. Do not rely on a result returned by this Site for any grant application, donor solicitation, regulatory filing, or legal proceeding. Verify current status directly with the IRS at irs.gov.
Crowded Technologies Inc. expressly disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. This Section survives termination.
4.No Legal, Tax, or Professional Advice
Nothing on the Site is legal, tax, accounting, or other professional advice. No attorney-client, accountant-client, or fiduciary relationship is created by your use of the Site or by any communication through it. Crowded Technologies Inc. is not a law firm, an accounting firm, or a tax return preparer, and a search result is not a professional opinion on any organization’s standing. Consult a qualified attorney, certified public accountant, or enrolled agent before acting.
5.Acceptable Use
You will not: use the Site for any unlawful purpose; use bots, crawlers, scripts, or other automated means to extract data from the Site; resell, republish, or redistribute results in original or modified form; present a result as an official IRS determination or a professional compliance opinion; use a result to misrepresent an organization’s status to donors, grantmakers, regulators, or the public; probe, scan, or test the security of the Site; or interfere with its operation or integrity.
Crowded Technologies Inc. may suspend or terminate access for any violation and may pursue all available remedies.
6.Free Consultations
The Site allows you to request a free consultation regarding Crowded’s compliance software and administrative support services. Submitting the form does not create any professional or service relationship. Any services you later engage are governed by a separate written agreement and not by these Terms. Crowded Technologies Inc. makes no representation as to the outcome of any consultation or of any service subsequently engaged. Information you submit is handled as described in the Privacy Policy.
7.Intellectual Property
The Site’s design, interface, copy, graphics, code, and the name “IsMyNonprofitCompliant” are owned by or licensed to Crowded Technologies Inc. and are protected by applicable intellectual property law. No proprietary claim is made to the underlying IRS records, which are public.
Without prior written consent you may not reproduce or republish the Site’s design, interface, or content for commercial purposes, use the name or branding in a manner implying affiliation with or endorsement by Crowded Technologies Inc., or frame or mirror any portion of the Site.
8.Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, CROWDED TECHNOLOGIES INC., ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF REVENUE, PROFITS, DATA, BUSINESS OPPORTUNITY, OR GOODWILL, OR FOR ANY REGULATORY PENALTY, TAX CONSEQUENCE, MISSED FILING, LAPSED TAX-EXEMPT STATUS, OR DISQUALIFIED GRANT, ARISING OUT OF OR RELATED TO THE SITE OR ANY DATA IT RETURNS.
The Site is provided free of charge. The total aggregate liability of Crowded Technologies Inc. for all claims arising out of or related to the Site or these Terms will not exceed one hundred United States dollars ($100).
Where applicable law does not permit an exclusion or limitation set out above, that exclusion or limitation applies to the maximum extent permitted.
9.Privacy
Information collected through the Site is handled in accordance with the Crowded Privacy Policy at bankingcrowded.com/legal/privacy-policy, which is incorporated into these Terms by reference. The Site is not directed to individuals under the age of 18, and Crowded Technologies Inc. does not knowingly collect personal information from them.
10.Changes, Governing Law, and General
Crowded Technologies Inc. may modify, suspend, or discontinue the Site or any feature at any time without notice or liability, and may revise these Terms at any time. For material revisions, notice will be posted on the Site for 30 days before the revision takes effect and the “Last Updated” date will be revised. Continued use of the Site after the effective date of a revision constitutes acceptance.
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles. The state and federal courts located in the State of Delaware have exclusive jurisdiction over any dispute arising out of or related to these Terms or the Site, and you consent to that jurisdiction and venue. Either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights.
If any provision of these Terms is held invalid or unenforceable, it will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions continue in full force and effect. No failure or delay in exercising any right operates as a waiver of that right. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Crowded Technologies Inc. with respect to the Site and supersede all prior understandings regarding it. These Terms may not be amended by the user.
